Delaware Corporate Franchise Tax Increase

Under House Bill 175, Delaware stock corporations can expect to see an increase in their franchise tax payable to the Secretary of State of Delaware. Effective January 1, 2018, the following taxes and fees will be affected:

  • Late Filing Penalty increased from $125 to $200
  • Authorized Shares multiplier fee increased from $75 to $85
  • Assumed Par Value multiplier fee increased from $350 to $400
  • Minimum tax when using the Assumed Par Value Calculation increased from $350 to $400

Effective Tax year 2017

  • Maximum tax has been increased from $180,000 to $200,000 per year.
  • A Tier 2 maximum tax of $250,000 has been created for certain publicly traded corporations that meet specific requirements. Letters from the State of Delaware will be sent in the coming months to inform any corporation that falls into this category.
