Home Alert: Delaware SOS CLOSED DUE TO SEVERE WEATHER EVENT

Due to severe weather conditions, the Delaware Division of Corporations of the Secretary of State will be closed today, Friday, January 19, 2024. Although the Delaware Secretary of State office will be closed, UCS will still be able to perform the following services:

  • Obtain Good Standing Certificates/Certified Copies/Status checks
  • File annual reports and pay franchise taxes
  • Conduct UCC searches
  • File UCC1 and UCC3 via XML

Is there any possibility of submitting a filing and evidence being returned to me today?
During this unexpected closure, the state’s emergency filing procedures will be activated. However, please be aware that the processing of emergency filings will depend on the availability of electricity and connectivity at the location of the emergency filer (State employee). If you require evidence today for a corporate filing, you have the option to pay an additional state fee of $2,500 per filing for this emergency service.

Can I still submit filings and receive today’s date?
Yes. An extraordinary event can be recorded in the state’s system, allowing for file dates on the day the state is closed. This means that if you require today’s file date for a corporate filing, we will be able to accommodate it, but only once the state reopens next week. Additionally, if you request today’s file date, an affidavit will be attached to the filing, stating that it was filed under extraordinary circumstances in accordance with 8 DEL.C.§103(I)(1) and related sections under 6 DEL.C.

Will I be able to use filing priorities (1-hour or 2-hour) to process my request today?
No.

Will I receive evidence today for any filing submission(s) made earlier this week?
No.

If you choose to send corporate or UCC filings today, please indicate your requirements regarding the file date (whether today’s file date is necessary or if filing next week is acceptable) and whether evidence is needed today.

If you would like to upgrade your submission to a faster priority when the Secretary of State reopens, please speak with your Client Service Representative about cutoff times and expedite fees.
