Your NY Company’s Biennial Statement

There is one line from Alicia Keys’ popular song New York that says it all: “These streets will make you feel brand new. Big lights will inspire you!” So many would agree and consider New York to be the cultural, financial and media capital of the world. From watching a Broadway play to visiting famous attractions like the Statute of Liberty or climbing the Adirondack Mountains, New York offers visitors and its residents an endless supply of places to go and things to do.

Everyday, the New York Department of State welcomes hundreds of newly formed entities who are pursuing their dream of entrepreneurship. In most states, companies that wish to have a presence are required on an annual basis to inform the Secretary of State of their corporate actives such as a change to the principle office address or officers and directors information. New York’s requirements are slightly different in that most NY entity types are required to file a statement every two years with the Department of State instead of annually. Failure to file a Biennial Statement could result in your company showing up as “past-due” in the Department of State’s records. This information can possibly affect the company’s ability to conduct business since it would show that the entity is unable fulfill its obligation to the state.

Make Sure The Department of State Can Reach You

Keeping your company’s record current with the state is vital to maintaining good standing status. Make sure the New York Department of State can notify you of upcoming filing responsibilities by providing the correct contact information for their records. The Department of State sends an email notice at the beginning of the calendar month in which the Biennial Statement is due. The state will not know if an email address is no longer active unless you tell them.
