The Cost of Publication in New York

If you recently formed or qualified an LLC, LLP or PLLC in the state of New York you probably know that there is a post filing requirement to notify the public.  This notification is done by purchasing advertising space in two newspapers where the principle office is located.  Once the publication is completed, an affidavit is filed with the New York Department of State.  This process must all be completed within 120 days of formation/qualification.  If you didn’t know this…SURPRISE!

Because there is no uniformity with any of the newspapers or counties, the cost for publication will vary from one county to the next.  The cost for publication can be expensive depending on the county.  Here’s the kicker:  You don’t select the newspapers, the county clerk does.  Neither the service company nor you have control over this.  For many years this requirement has elicited a myriad of emotions from business owners of which none have included happiness.

Some of the most commonly asked questions asked when it is time to fulfill the publication requirement are:

  1. Why does it cost so much?
  2. What if I just don’t do it?
  3. What if I list a different county where it is cheaper to publish and then amend it after publication is complete?
