The Delaware Secretary of State will be Closed Christmas Eve

On December 17th, Delaware Governor John Carney announced that all state agencies will now be closed on Thursday, December 24, 2020. This means the following for upcoming transactions at the Secretary of State:

Corporate
You will not be able to obtain the file date of December 24, 2020 unless prior arrangements have been made.*
December 24, 2020 can be used as a future effective date.
Filing evidence will not be received on December 24th.
Good Standings, Certified Copies, and Plain Copies will be available as usual.
The ability to reserve names, pay franchise tax and confirm good standing status will not be affected by the closure.

UCC
UCC Filings cannot obtain the December 24th file date UNLESS they are filed via XML.
Filing evidence will not be received on December 24th.
UCC Searches will not be affected by the closure and will be processed throughout the day.

*Delaware offers global filing services for corporate filings if you need the December 24th file date. For those wanting to use this service, the Division must have the document by 8 p.m. Wednesday, December 23rd. The cost for this service is $2,500 above the regular filing fees. The filing will actually be processed the first thing in the morning on December 28th utilizing the requested priority service.
