Tax Clearance

The Certificates of Good Standing issued by the Secretary of State indicate that a corporation has paid its franchise tax, but income tax is different. Personal and Corporate income tax is typically handled by the Division of Revenue, Division of Taxation or Comptroller. Whatever the tax authority in your particular jurisdiction, they would issue the Certificates of Tax Clearance.

Tax Clearance is required for a number of reasons:

  • Some states require registered entities to provide proof that their taxes have been paid before renewing or dissolving the entity in that state.
  • Applying for certain grants
  • Applying for certain licenses
  • Bid submissions
  • Government contracts
  • Financial closing
  • Sale of a business
