Delaware Secretary of State announces that they will be closed Friday, December 23rd
Delaware Governor John Carney has just announced that all state agencies will now be closed on Friday, December 23rd. This means the following for upcoming transactions with the Secretary of State:
Corporate
You will not be able to obtain the file date of December 23, 2022 unless prior arrangements have been made.*
December 23, 2022 can be used as a future effective date.
Filing evidence will not be received on December 23rd.
Good Standings, Certified Copies, and Plain Copies will be available as usual.
The ability to reserve names, pay franchise tax and confirm good standing status will not be affected by the closure.
UCC
UCC Filings cannot obtain the December 23rd file date UNLESS they are filed via XML.
Filing evidence will not be received on December 23rd.
UCC Searches will not be affected by the closure and will be processed throughout the day.
*Delaware offers global filing services for corporate filings if you need the December 23rd file date. For those wanting to use this service, the Division must have the document by 8 p.m. Thursday, December 22nd. The cost for this service is $2,500 above the regular filing fees. The filing will actually be processed the first thing in the morning on December 27th utilizing the requested priority service.
